Acquisition Searches
Eastman assists corporations that are actively seeking acquisition opportunities in developing a comprehensive Acquisition Plan. An experienced Investment Banking Team is assigned to assist the Client in formulating the acquisition criteria. The Eastman team then organizes and implements an active search for target companies meeting the established criteria, initiates contact with the targeted companies, assists in negotiating the terms of the transaction, participates in drafting the Definitive Agreement and closes the transaction. In identifying potential target companies, Eastman capitalizes upon its extensive nation-wide network, as well as its proprietary database of privately held companies. Often, a representative of Eastman has had prior discussions with the targeted companies. The firm's Investment Banking Team analyzes the target Company utilizing a proprietary valuation program designed to achieve the optimal valuation and deal structure.
Specific Acquisition Assignments
Strategic buyers and investment groups retain Eastman to contact specific, pre-selected acquisition targets. In these situations, Eastman's functions range from initiating discussions regarding the acquisition proposal to the complete array of our services.
Management Buyouts
Management of middle-market companies have retained Eastman to assist in formulating management buyout plans. Eastman's services include: assisting management in selecting the most appropriate course of action, presenting the proposal to the owners and/or board of directors, participating in negotiating the terms of the purchase agreements, assisting in arranging the financing and closing the transaction. One of Eastman's key roles in Management Buyout assignments is to protect management's delicate relationship with the stockholders of the Company. The Investment Banking Team serving the Client assists in drafting a buyout strategy, which considers valuation, structure and most importantly, likely response scenarios from the Company's board of directors.
